Pinkerton Computer Consultants, Inc. is an international information technology, services and solutions provider serving commercial, governmental and industrial markets.
The Profit Sharing Plan which participated in funding the recapitalization of Pinkerton in 2000 expressed interest in liquidity and management responded with a tender offer to repurchase preferred stock held by Plan beneficiaries.
We were engaged as financial advisors to the Plan and its Trustees in negotiations with Pinkerton.
We assisted the Trustees in increasing the price and number of shares in the tender offer and advised on the terms of the transaction.
